Lease Financing Terms and Conditions

1. General

1.1. Loan application specifying the purpose, value, term, brief description of the object to be financed, loan repayment sources and security provided (pledge, surety, guarantee etc.).

2. Constituent Documents

2.1 Memorandum of Association.
2.2 Articles of Association.
2.3 Certificate of incorporation of the entity.
2.4 Specimen signatures and seal impression form.
2.5 Tax Authority Registration Certificate or a letter of information on registration with the tax authority.
Documents listed in Article 2.1...2.5 shall be provided either in original or certified copies thereof.
2.6 Copy of the order on assignment of the Chief Executive and Controller of the company.
2.7 Special permit (license) for the business carried out.

3. Documents Evidencing Financial Standing of the Legal Entity

3.1 Financial statements of the legal entity (certified by the Tax Inspectorate specifying off-balance sheet account with regard to guarantee commitments or any alternative documents) for the four recent reporting periods (Form 1, Form 2 and Form 4, to be provided on a compulsory basis).
3.2 Certificates of current accounts of the legal entity for RF roubles or any foreign currency; for each Bank certificate of monthly turnover as per accounts shall be provided for the recent 12 months (net of "double" counting) as well as data on file No.2 as per accounts to date (specifying amounts).
3.3 Accounts payable/receivable interpretation as of the recent reporting date as follows:

3.4 Certificates with regard to the following shall be provided:
a) Credits and loans obtained (attaching copies of loan (credit) and security agreements)) as of the date of application for loan or unavailability thereof; (loan funds —  pp. 511, 512 and 611, 612).

4. Project Feasibility Study

Project (loan) feasibility study and documents supporting the same. Any feasibility study shall include the following:

  • Data on the amount and term of loan applied for as well as lending purpose;
  • Description of the company structure and management;
  • Data on subsidiaries and affiliates and their functions in the company (enterprise) business;
  • Description of major lines of activity (businesses) specifying principal contracting parties (suppliers and customers) and respective settlement terms;
  • Information on the production activities of the company (description of the manufacturing and operating process; periods when the company assets are provided to the suppliers in advance; stores and supplies storing period as from the date of delivery till the date of supply to workshops; duration of manufacturing process; finished products retention period; average term of repayment of both accounts receivable and payable); list of raw stock and materials required; data on the classification of the products produced);
  • Purpose the loan is applied for specifying certain trends of use of the loan funds;
  • Information on availability of agreements (contracts) or any other covenants made with customers or suppliers attaching appropriate documents (copies of contracts etc.);
  • Estimated term and value of the products to be manufactured or purchased or that of any services provided specifying price per unit;
  • Estimated marketing outlet;
  • Estimated amount of profit on sales (upon payments to the revenue);
  • Project economic feasibility study as attached in Exhibit 1 hereto.
